(a) In the event that a user places an order over the phone, in person or receives an invoice via email, the terms and conditions outlined herein shall apply to such transactions.

(b) By placing an order over the phone, in person or accepting an invoice via email, the buyer, consumer, or user acknowledges and agrees to be bound by the terms and conditions set forth in this agreement.

(c) CoyoteVest reserves the right to verify and record phone orders for quality assurance and dispute resolution purposes.

(d) In the case of any conflict or inconsistency between the terms communicated over the phone, in person or in an emailed invoice and these written terms and conditions, the latter shall prevail.

The following Terms of Service Agreement is a legally binding agreement that shall govern the relationship with our users and others including Retail Partners, wholesale buyers, recipient and all other identities; which may interact or interface with CoyoteVest, LLC, also known as CoyoteVest, located at 9985 Businesspark Avenue, Suite B, San Diego, California, 92131 and our subsidiaries and affiliates, in association with the use of the CoyoteVest website, which includes www.coyotevest.com (the "Site") and its Services.

Disclaimer

CoyoteVest is released from all liabilities and cannot be held responsible for any losses or damages incurred, either directly or indirectly, due to the use of this website, including all media outlets and/or its products. The customer, you, user, or other entities take full responsibility for purchases and/or use of any information and/or products obtained from CoyoteVest, LLC.

CoyoteVest reserves the right, without prior notification, to limit the order quantity on any item and/or to refuse service to any customer. Verification of information may be required prior to the acceptance of an order(s).

The contents of the CoyoteVest website are provided for informational purposes only. In no event shall CoyoteVest, LLC be liable for any injury from use or misuse of the CoyoteVest protection products, special, indirect, punitive or consequential damages resulting from any use or performance of products, or content errors or omissions in the information, even if notified in advance for the potential for such damages. Use at your own risk.

The CoyoteVest, LLC and CoyoteVest protection products sold by CoyoteVest and/or direct or indirect subsidiaries, is designed to aid in the protection of dogs and cats from being injured from puncture wounds. This protective vest, collars, harnesses, and all other items sold by CoyoteVest and/or direct or indirect subsidiaries, is to mitigate the risk of your dog and cat from being injured if involved in an attack. Our protective gear is for intervention only.

The CoyoteVest vest and other protective gear sold by CoyoteVest does not guarantee prevention of puncture wounds which may result in injury and/or death. The CoyoteVest does not assume responsibility in the event that a dog wearing the vest or other protective items sold by CoyoteVest receives a puncture wound and is injured and/or dies.

CoyoteVest is released from all liabilities if an animal or human is injured and/or dies from the CoyoteVest pet products. Use at your own risk.

All CoyoteVest products provided as is without any express or implied warranties. In no event shall CoyoteVest, LLC be liable for any injury from use or misuse of the CoyoteVest Products, special, indirect, punitive or consequential damages resulting from any use or performance of product, or content errors or omissions in the information, even if notified in advance of the potential for such damages. Use at your Own Risk.

Intellectual Property Rights

All designs, copyright, trademarks, logos, names, content, pictures, and any other elements present on this website belong exclusively to CoyoteVest and are registered, copyright, and/or trademark protected. Everything found on this website is the sole property of CoyoteVest, LLC and shall not be used for any purpose without written permission from CoyoteVest, LLC.

CONTRIBUTIONS TO OUR COMPANY WEBSITE AND ALL SOCIAL MEDIA PLATFORMS. "SITES" REFER TO ALL PLATFORMS:
CoyoteVest, LLC provides an area for our users to contribute feedback to our website and/or all social media platforms. When you submit ideas, documents, suggestions and/or proposals ("Contributions") to our site, you acknowledge and agree that:
a) your contributions do not contain any type of confidential or proprietary information;
b) CoyoteVest shall not be liable or under any obligation to ensure or maintain
confidentiality, expressed or implied, related to any Contributions;
c) CoyoteVest shall be entitled to make use of and/or disclose any such Contributions in any such manner as they may see fit;
d) the contributor's Contributions shall automatically become the sole property of CoyoteVest; and
e) CoyoteVest is under no obligation to either compensate or provide any form of reimbursement in any manner or nature.

INDEMNITY
All users herein agree to insure and hold CoyoteVest, LLC, our subsidiaries, affiliates, agents, employees, officers, partners and/or licensors blameless or not liable for any claim or demand, which may include, but is not limited to, reasonable attorney fees made by any third party which may arise from any content a user of our "SITES" may submit, post, modify, transmit or otherwise
make available through our Terms and Conditions and Services, the use of CoyoteVest Services or your connection with these Services, your violations of the Terms of Conditions and Services and/or your violation of any such rights of
another person.

MODIFICATIONS
CoyoteVest, LLC shall reserve the right at any time it may deem fit, to modify, alter and or discontinue, whether temporarily or permanently, our service, or any part thereof, with or without prior notice. In addition, we shall not be held liable to you or to any third party for any such alteration, modification, suspension and/or discontinuance of our Services, or any part thereof.

In the event you have a dispute, you agree to release CoyoteVest, LLC (and its officers, directors, employees, agents, parent subsidiaries, affiliates, co-branders, partners and any other third parties) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected or unsuspected, disclosed and undisclosed, arising out
of or in any way connected to such dispute.

EXCLUSION AND LIMITATIONS
You herein acknowledge, understand and agree that all of the CoyoteVest, LLC trademarks, copyright, trade name, service marks, and other CoyoteVest, LLC logos and any brand features, and/or product and service names are trademarks and as such, are and shall remain the property of CoyoteVest, LLC. You herein agree not to display and/or use in any manner the CoyoteVest, LLC logo or marks without obtaining CoyoteVest, LLC's prior written consent.

STATUTE OF LIMITATIONS
You acknowledge, understand and agree that regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of our Terms and Conditions and/or services must be filed within a year after said claim or cause of action arose or shall be forever barred.
